MRC PAY INTERNATIONAL CORP. ("MRC", "MRC PAY", "MRC GLOBAL PAY", "we", "us", or "our") provides the MRC platform, services, APIs, on/off-ramp functionality, and related technologies (collectively, the "MRC Services" or "Services").

By accessing or using the MRC Services, creating an account, completing KYC/KYB, or clicking "I Agree," you ("Merchant", "Customer", "you") agree to be bound by these Terms of Service ("Terms" or "TOS"). If you do not agree, do not use the Services.
1. Acceptance of Terms
These Terms govern your use of the MRC Services. By using the Services you accept these Terms in full.
2. Eligibility
You represent that you are a duly organized business entity with full authority to enter into this agreement.
3. Services
MRC provides payment processing, on- and off-ramping of digital assets to fiat (primarily US banks and cards, with expansion based on eligibility), and related services through licensed partners. All services are subject to approval, risk management policies, and the terms in your Order Form.
4. Account and Onboarding
You must successfully complete our KYB/KYC process and keep all information accurate and up to date at all times. You are responsible for all activity under your account.
5. End Users
You are solely responsible for your relationship with End Users, including fulfillment of goods/services, disclosures, privacy, and legal compliance. You must obtain each End User's explicit consent to these Terms, our Privacy Policy, and your own terms before granting access.
6. Prohibited Uses
You may not use the Services for any businesses or activities listed in Schedule B: Prohibited Businesses.
7. Fees and Payments
Fees (covering provider costs plus any agreed profit share) will be deducted from transactions or charged as agreed. Payments are non-refundable. You are responsible for all applicable taxes.
8. Intellectual Property
We grant you a limited, non-exclusive, non-transferable license to use the MRC Services for your internal business purposes. You may not reverse engineer, copy, modify, or misuse our technology. MRC retains all ownership rights.
9. Data and Privacy
You grant us the right to use your data as needed to provide and improve the Services. You must maintain a legally compliant privacy policy and obtain all necessary consents from End Users.
10. Disclaimers
The Services are provided "AS IS" without any warranties, express or implied.
11. Limitation of Liability
Our liability is limited to the maximum extent permitted by law, consistent with the protections set out in the original Master Services Agreement.
12. Termination
We may suspend or terminate your access at any time for violation of these Terms, risk reasons, or non-payment.
13. General
These Terms, together with Schedule A (Order Form), Schedule B (Prohibited Businesses), and Exhibit C (SLA), constitute the full agreement between the parties. All schedules and exhibits from the original MRC Master Services Agreement are incorporated by reference.

You further agree to Sphere's Privacy Policy and any applicable financial institution partner terms. In case of any conflict regarding integrated services, the more protective terms apply.
Acceptance
By using the Services or signing below, you confirm that you have read and agree to both MRC Terms of Service and Sphere Terms of Service.
